These Terms of Service (“Terms”) govern your access to and use of the DropRoyal platform and website located at https://droproyal.com (collectively, the “Service”). The Service is operated by DropRoyal (“DropRoyal”, “we”, “our”, “us”).

By creating an account, connecting a store, accessing the Service, or otherwise using any part of the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and “you” will refer to that entity.

1. Definitions

“Account” means the user account created to access the Service. “Merchant” means a user who connects an ecommerce store and uses the Service for dropshipping operations. “Store” means an ecommerce storefront connected to the Service, including (without limitation) Shopify and WooCommerce stores. “Supplier” means a third-party supplier, warehouse, or fulfillment provider whose products or services may be accessible through or used with the Service. “Content” means all information, text, graphics, product data, store data, and other materials submitted to or transmitted through the Service.

2. The Service and Our Role

DropRoyal is a software platform that helps merchants integrate their stores, import and manage product listings, synchronize inventory and pricing, and assist with order workflows and fulfillment automation. DropRoyal is not a supplier, seller, broker, carrier, payment processor, or marketplace unless explicitly stated in a separate written agreement. We do not manufacture, store, inspect, label, package, ship, or deliver products, and we do not guarantee supplier performance, delivery times, product quality, accuracy of supplier information, or any business results.

You are solely responsible for your Store, your customers, your product listings, customer communications, pricing, taxes, compliance, and all transactions you conduct. You must ensure that your use of the Service and your ecommerce operations comply with all applicable laws and regulations, including consumer protection rules, ecommerce and distance-selling requirements, VAT obligations, advertising and marketing rules, product safety requirements, and intellectual property laws.

3. Eligibility and Registration

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. When creating an Account, you must provide accurate, current, and complete information and keep that information updated. We may refuse registration, suspend access, or terminate Accounts where we believe information is false, incomplete, or misleading, or where required for legal, security, or compliance reasons.

4. Account Security and Authorized Users

You are responsible for maintaining the confidentiality of your login credentials, API keys, and access tokens and for all activity that occurs under your Account. You must promptly notify us if you suspect any unauthorized access or security incident. DropRoyal is not responsible for losses caused by unauthorized use of your Account where you failed to take reasonable security precautions.

If you permit employees, contractors, or other users to access your Account (“Authorized Users”), you are responsible for their actions and ensuring their compliance with these Terms.

5. Store Connections, Permissions, and Data Sync

To provide features such as product import, inventory synchronization, order processing, and automation, you may connect your Store to the Service. By doing so, you authorize DropRoyal to access, retrieve, transmit, and process data from your Store and connected services as necessary to operate the Service, including product details, order details, customer details, shipping details, and other Store data you choose to sync or manage.

You acknowledge that connected platforms and plugins (including Shopify apps and WooCommerce/WordPress plugins) are third-party services. Their availability, functionality, and policies are controlled by the third parties. DropRoyal is not responsible for changes to third-party APIs, platform rules, plugin conflicts, or outages that impact integrations or Service performance.

6. Merchant Content, Accuracy, and Responsibility

You retain ownership of your Content. You grant DropRoyal a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display your Content solely to provide, maintain, and improve the Service and to comply with legal obligations. You represent and warrant that you have all necessary rights to provide Content to the Service and that your Content does not infringe or misappropriate any intellectual property or other rights.

You are responsible for ensuring that product listings, descriptions, pricing, images, claims, and policies displayed in your Store are accurate and lawful. You must ensure you have appropriate licenses or permissions for any images, branding, trademarks, or copyrighted materials you use.

7. Acceptable Use and Prohibited Activities

You agree not to use the Service in any manner that is unlawful, harmful, deceptive, or abusive, or that interferes with the integrity or performance of the Service. Without limitation, you may not (a) sell counterfeit goods or goods that violate intellectual property rights; (b) sell prohibited or restricted items where illegal or non-compliant; (c) engage in fraud, chargeback abuse, or deceptive marketing; (d) attempt to gain unauthorized access to accounts, systems, or networks; (e) scrape, crawl, or probe the Service in a manner that imposes an unreasonable load; (f) reverse engineer, decompile, or attempt to derive source code or underlying ideas of the Service except as permitted by law; or (g) introduce malware, bots, or harmful code.

We may investigate suspected violations and may suspend or terminate access, remove Content, or take other actions we deem appropriate, including cooperating with law enforcement where required.

8. Plans, Fees, Billing, and Taxes

Certain features of the Service may require payment. Pricing, plan features, and billing intervals are described on the Service or in your Account dashboard. By selecting a paid plan, you authorize us (and our payment processors) to charge applicable fees, taxes, and other amounts associated with your subscription. Unless required by law, fees are non-refundable and not prorated for partial periods, including after cancellation.

You are responsible for all applicable taxes related to your subscription and ecommerce activity, including VAT where applicable. If payment fails, we may suspend or limit your access to paid features until payment is successfully processed.

9. Trials, Promotions, and Feature Changes

We may offer free trials or promotional pricing at our discretion. Trial terms may be communicated at signup and may require a payment method. We may modify or discontinue trials or promotions at any time to the extent permitted by law.

We may add, remove, or modify features, impose usage limits, or change the Service to improve functionality, comply with law, or address security and operational considerations. Where changes materially reduce paid features, we will provide reasonable notice where practicable.

10. Intellectual Property and License

The Service, including its software, design, logos, trademarks, and documentation, is owned by DropRoyal and its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, DropRoyal grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term for your internal business purposes.

You may not copy, modify, distribute, sell, lease, sublicense, or otherwise exploit the Service except as expressly permitted. Any feedback or suggestions you provide may be used by DropRoyal without restriction or compensation.

11. Confidentiality

During use of the Service, you may receive non-public information about the Service, including product roadmaps, pricing not publicly disclosed, or technical details (“Confidential Information”). You agree to protect Confidential Information using reasonable care and not disclose it except as necessary to use the Service or as required by law.

12. Privacy and Data Protection

Our collection and use of personal data are described in our Privacy Policy. Where DropRoyal processes personal data on your behalf (for example, customer order information), you remain responsible for ensuring you have a lawful basis to provide such data and for complying with applicable data protection laws.

13. Service Availability, Support, and Maintenance

We aim to keep the Service available and functioning reliably, but we do not guarantee uninterrupted access. Maintenance, updates, third-party issues, or unforeseen events may cause delays, errors, or temporary unavailability. Support is provided according to the support channels and response expectations stated on our website or within the Service.

14. Disclaimers

To the maximum extent permitted by law, the Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. DropRoyal does not warrant that the Service will meet your requirements, achieve specific results, or be error-free, secure, or continuously available.

15. Limitation of Liability

To the maximum extent permitted by law, DropRoyal will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or use, even if advised of the possibility of such damages. DropRoyal is not liable for supplier performance, product quality, shipping delays, chargebacks, disputes with customers, third-party platform outages, or changes to third-party integrations.

To the maximum extent permitted by law, DropRoyal’s total liability for all claims relating to the Service during any rolling three (3) month period will not exceed the total fees paid by you to DropRoyal for the Service during that period.

16. Indemnification

You agree to defend, indemnify, and hold harmless DropRoyal and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service; (b) your Store, Content, products, or marketing; (c) your violation of these Terms; or (d) your violation of any law or third-party rights.

17. Suspension and Termination

You may stop using the Service and cancel your subscription at any time through your Account settings, if available, or by contacting support. We may suspend or terminate your access immediately if we believe you have violated these Terms, pose a security risk, engage in unlawful conduct, or if required by law.

Upon termination, your right to access the Service will cease. We may delete or anonymize your data in accordance with our data retention practices and legal obligations. Certain provisions of these Terms will survive termination, including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting updated Terms on the Service and updating the “Last Updated” date, and we may provide additional notice where required by law. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

19. Miscellaneous

These Terms constitute the entire agreement between you and DropRoyal regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in effect. You may not assign these Terms without our prior written consent. Our failure to enforce any right or provision will not be deemed a waiver of such right or provision.
